2. Definitions

For these Terms:

  • Company means CODEMEONLINE.
  • Customer, User, Client, or You means any person or organization using our products or services.
  • Services include websites, applications, SaaS platforms, APIs, hosting, AI services, cloud infrastructure, automation systems, consulting, branding, marketing, subscriptions, maintenance, software licensing, digital products, and future offerings.
  • Software includes source code, compiled applications, plugins, themes, APIs, SDKs, templates, automation workflows, AI agents, scripts, extensions, integrations, and digital downloads.
  • Subscription means any recurring monthly, quarterly, yearly, lifetime, or custom billing plan.
  • Content includes text, graphics, databases, software, documents, videos, images, logos, trademarks, source code, files, and digital assets.

3. Eligibility

You must be at least thirteen (13) years old to access or use our services.

Certain products including software licenses, payment services, SaaS subscriptions, enterprise solutions, and commercial agreements may require you to be at least eighteen (18) years old or otherwise legally capable of entering into binding contracts under applicable law.

You represent that all information submitted to CODEMEONLINE is accurate, complete, current, and legally valid.

We reserve the right to refuse service where legally permitted.


4. User Accounts

Some products require account registration.

You are solely responsible for maintaining the confidentiality of your account credentials, passwords, authentication methods, API keys, recovery codes, billing information, and login devices.

You agree not to share your account with unauthorized persons unless expressly permitted by your purchased license.

Your responsibilities include:
  • Providing accurate information.
  • Keeping passwords secure.
  • Updating contact details.
  • Preventing unauthorized access.
  • Immediately reporting security incidents.
  • Maintaining backups of your own data.

CODEMEONLINE may suspend, restrict, disable, investigate, or permanently terminate accounts involved in fraud, phishing, spam, chargebacks, copyright infringement, malware distribution, platform abuse, illegal activity, repeated policy violations, security threats, or misuse of our services.

Termination may occur without prior notice where reasonably necessary to protect our customers, infrastructure, intellectual property, legal rights, or business operations.

We reserve the right to improve, redesign, replace, suspend, discontinue, modify, remove, or introduce any service, pricing structure, subscription, feature, functionality, or technology without prior notice where permitted by applicable law.


6. Orders, Payments & Billing

By placing an order you confirm that you are legally authorized to purchase the requested products or services.

Payments may be accepted through supported payment providers including Razorpay, Stripe, Cashfree, PayU, PhonePe, UPI, Bank Transfer, Credit Cards, Debit Cards, Wallets, Net Banking, and other approved payment methods.

All prices displayed are subject to applicable taxes including GST where required by Indian law.

Prices, promotional offers, subscription fees, support plans, maintenance plans, enterprise pricing, and custom quotations may change without prior notice.

Failure to complete payment may result in delayed delivery, suspension of services, cancellation of your order, or account termination.

By making payment you expressly acknowledge that you have read, understood, and accepted these Terms & Conditions, our Privacy Policy, Refund & Cancellation Policy, and any applicable Service Agreement.


7. Quotations & Estimates

All quotations, proposals, estimates, timelines, pricing, and project plans provided by CODEMEONLINE are based upon the information available at the time they are issued.

Any modification to project requirements, additional features, integrations, revisions, content, hosting requirements, or third-party services may result in revised pricing and delivery timelines.

Unless otherwise agreed in writing, quotations remain valid for thirty (30) calendar days from the date of issue.

CODEMEONLINE reserves the right to withdraw, modify, or reject quotations at any time before payment is received.


8. Taxes & Government Charges

Customers are responsible for paying all applicable taxes, GST, duties, banking fees, payment gateway charges, customs charges, currency conversion fees, withholding taxes, and government levies associated with their purchases.

Invoices shall be generated in accordance with applicable Indian tax laws where required.

Customers purchasing from outside India remain responsible for complying with their local tax obligations.


9. Project Scope & Change Requests

Every project shall be completed according to the agreed quotation, proposal, invoice, statement of work, or written agreement.

Any request outside the originally agreed scope shall be considered a separate change request and may require additional payment.

CODEMEONLINE reserves the right to reject change requests that materially alter the project scope or technical feasibility.

Project timelines may automatically extend due to approved change requests.


10. Project Delivery

Delivery timelines are estimates only unless specifically guaranteed in writing.

Project delivery may be delayed due to client revisions, incomplete information, third-party delays, holidays, force majeure events, payment delays, hosting issues, or technical limitations.

CODEMEONLINE shall not be liable for reasonable project delays resulting from circumstances beyond our control.

Digital Delivery

Products and services may be delivered through email, cloud storage, Git repositories, hosting environments, customer portals, download links, server deployment, SaaS dashboards, API credentials, or other electronic methods.


11. Customer Responsibilities

Customers agree to provide all required information, credentials, approvals, content, logos, media, documentation, hosting access, domain access, API credentials, payment gateway access, and other resources necessary for project completion.

Customers remain solely responsible for the accuracy and legality of all content supplied to CODEMEONLINE.

Failure to provide required materials may delay or suspend the project without refund.


12. Software License

Licensed — Not Sold

Unless expressly agreed otherwise in writing, every software product, SaaS platform, application, source code package, plugin, API, automation workflow, AI system, template, script, extension, or digital product developed or supplied by CODEMEONLINE is licensed and not sold.

Customers receive a limited, non-exclusive, revocable, non-transferable license to use the purchased software according to the purchased plan.

Ownership of the intellectual property remains with CODEMEONLINE unless expressly transferred through a written agreement.


13. Permitted Use

Customers may use purchased software for their own business operations, internal projects, client work, commercial projects, or personal use according to the applicable license.

Unless expressly prohibited by the purchased license, customers may install the software on systems owned or controlled by them.

Lifetime licenses remain valid for the purchased version only and do not automatically include future updates or support unless specifically stated.


14. License Restrictions

Without prior written permission from CODEMEONLINE, customers shall not:

  • Sell our software as their own product.
  • Redistribute source code.
  • Publish proprietary source code.
  • Upload our products to marketplaces.
  • Create competing commercial products using our proprietary frameworks.
  • Remove copyright notices.
  • Reverse engineer proprietary licensing mechanisms where prohibited by law.
  • Resell SaaS accounts.
  • Share premium downloads publicly.
  • Transfer software licenses without written approval.

Violation of these Terms may result in immediate suspension or termination of software licenses, updates, customer accounts, technical support, and access to future releases.


15. Source Code Ownership

Ownership of custom-developed source code shall be determined by the applicable quotation, agreement, invoice, or written contract.

Unless expressly transferred, CODEMEONLINE permanently retains ownership of:

  • Internal Frameworks
  • Reusable Components
  • Libraries
  • Automation Engines
  • AI Models
  • Internal APIs
  • SDKs
  • Deployment Scripts
  • Templates
  • Development Utilities
  • Testing Tools
  • Business Logic Libraries

Ownership of completed deliverables transfers only after all outstanding invoices, taxes, subscription fees, penalties, and agreed charges have been paid in full.


16. White Label & Reseller License

White-label rights are granted only where expressly included within the purchased package or written agreement.

Customers may not represent CODEMEONLINE software as entirely developed by themselves where such representation would infringe our intellectual property rights.

Reseller rights, agency licenses, enterprise licenses, OEM rights, and redistribution rights require prior written authorization.


17. Updates & Technical Support

Software updates, bug fixes, compatibility improvements, feature enhancements, and technical support are provided only during the purchased support period or active subscription unless otherwise agreed.

CODEMEONLINE may discontinue support for legacy software versions at its sole discretion.

Expired support plans do not include free updates, maintenance, troubleshooting, migrations, compatibility fixes, consulting, or development work.


18. Subscription Services

Certain products operate on monthly, quarterly, yearly, or recurring billing models.

Subscriptions remain active until cancelled or terminated according to the applicable subscription plan.

Failure to pay recurring subscription fees may result in suspension or permanent termination of services without liability to CODEMEONLINE.

Where automatic renewal is enabled, customers authorize recurring billing using the selected payment method until cancellation.

19. Hosting, VPS & Cloud Services

CODEMEONLINE may provide website hosting, VPS hosting, cloud deployment, managed servers, application hosting, email hosting, storage services, CDN integration, server optimization, monitoring, migration, maintenance, and related infrastructure services.

Hosting services are provided on a commercially reasonable basis. We do not guarantee uninterrupted availability, error-free operation, or continuous uptime unless specifically agreed through a separate Service Level Agreement (SLA).

Scheduled maintenance, emergency maintenance, security patches, hardware failures, internet outages, third-party provider issues, force majeure events, and software updates may temporarily affect service availability.

Important Notice

Customers are solely responsible for maintaining independent backups of their websites, databases, applications, emails, media files, configuration files, and other digital assets.


20. Domains & DNS Services

Domain registrations are processed through third-party registrars.

Customers remain responsible for renewing domain names before expiration.

CODEMEONLINE shall not be liable for expired domains, DNS failures, registrar suspension, transfer disputes, ownership conflicts, or losses resulting from customer negligence.


21. Third-Party Services

Our products may integrate with third-party services including but not limited to Google, Meta, Facebook, Instagram, WhatsApp, Microsoft, OpenAI, Stripe, Razorpay, Cashfree, PayPal, Shopify, WooCommerce, WordPress, Hostinger, AWS, DigitalOcean, Cloudflare, GitHub, SMTP providers, SMS providers, payment gateways, AI providers, analytics providers, APIs, and cloud platforms.

CODEMEONLINE has no control over third-party products, pricing, policies, API availability, service interruptions, platform decisions, account verification, content moderation, or platform enforcement actions.

We shall not be responsible for any suspension, restriction, rejection, API limitation, account ban, policy violation, downtime, or termination imposed by third-party providers.


22. Artificial Intelligence Services

CODEMEONLINE may provide AI-powered services including AI chatbots, AI agents, automation systems, content generation, image generation, workflow automation, analytics, recommendation engines, and machine learning solutions.

AI-generated outputs may occasionally contain inaccuracies, incomplete information, unexpected behavior, or content requiring human review.

Customers remain solely responsible for reviewing, verifying, approving, and using AI-generated content before relying upon it.

CODEMEONLINE does not guarantee the accuracy, legality, originality, or suitability of AI-generated outputs.


23. API Services

API access may be subject to authentication, usage limits, rate limits, fair usage policies, technical restrictions, subscription requirements, and security controls.

Customers shall not misuse APIs through excessive requests, scraping, reverse engineering, unauthorized automation, denial-of-service attacks, or activities that negatively impact system stability.

API specifications, endpoints, authentication methods, and availability may change without prior notice.


24. Security

CODEMEONLINE implements commercially reasonable security measures to protect our systems and customer information.

However, no website, application, server, cloud platform, API, or internet-based service can be guaranteed to be completely secure.

Customers are responsible for protecting passwords, API keys, authentication credentials, administrator accounts, recovery codes, and other sensitive information.

Customers must immediately notify CODEMEONLINE if they become aware of any suspected unauthorized access or security incident.


25. Data Backup & Recovery

Unless expressly included within a purchased maintenance or backup service, customers remain solely responsible for maintaining regular backups of their websites, applications, databases, emails, source code, media files, customer data, and business information.

CODEMEONLINE shall not be liable for loss of data resulting from accidental deletion, hardware failure, malware, ransomware, hacking, software corruption, hosting failures, customer actions, or third-party services.


26. Privacy & Data Protection

Our collection and processing of personal information is governed by our Privacy Policy.

Customers remain responsible for ensuring their own websites, applications, SaaS platforms, marketing campaigns, and business operations comply with applicable privacy and data protection laws.

This includes, where applicable, India's Digital Personal Data Protection Act (DPDP Act), GDPR, CCPA, consumer protection laws, advertising regulations, anti-spam requirements, and other applicable legislation.


27. Cookies

Our websites and applications may use cookies, pixels, analytics technologies, session storage, browser storage, and similar technologies to improve functionality, security, performance, analytics, and user experience.

By using our services you consent to such technologies as described in our Privacy Policy where permitted by applicable law.


28. Confidential Information

Both parties agree to protect confidential information exchanged during the course of a project.

Confidential information may include business plans, pricing, software, source code, credentials, trade secrets, customer information, technical documentation, financial information, and proprietary processes.

This obligation shall not apply to information that is publicly available, independently developed, or required to be disclosed by law.


29. Marketing Communications

Customers may receive emails, SMS messages, WhatsApp messages, push notifications, invoices, security alerts, billing reminders, service announcements, newsletters, promotional offers, feature updates, and operational communications from CODEMEONLINE.

Customers may opt out of promotional communications where legally permitted, however operational and security communications may continue where necessary.


30. Acceptable Use Policy

Customers shall not use CODEMEONLINE products or services for unlawful, fraudulent, abusive, deceptive, harmful, or malicious purposes.

  • Spam or unsolicited communications.
  • Phishing attacks.
  • Malware distribution.
  • Unauthorized access.
  • Copyright infringement.
  • Trademark infringement.
  • Illegal content.
  • Platform manipulation.
  • Scraping in violation of applicable terms.
  • Distribution of harmful software.
  • Money laundering.
  • Fraudulent financial activities.
  • Activities violating applicable laws or third-party platform policies.

CODEMEONLINE reserves the right to suspend or terminate any service used in violation of this Acceptable Use Policy without prior notice where reasonably necessary.


31. Intellectual Property Rights

All software, applications, source code, APIs, SaaS platforms, websites, databases, AI models, automation workflows, graphics, logos, trademarks, branding, documentation, templates, designs, plugins, themes, SDKs, scripts, business processes, and proprietary technologies developed or provided by CODEMEONLINE remain the exclusive intellectual property of CODEMEONLINE unless expressly transferred through a written agreement signed by an authorized representative.

No ownership rights are transferred merely by purchasing, downloading, subscribing to, licensing, or using any CODEMEONLINE product or service.


32. Copyright & Trademark

All copyrights, trademarks, service marks, logos, trade names, graphics, software, and branding associated with CODEMEONLINE are protected under applicable intellectual property laws.

Unauthorized reproduction, copying, distribution, publication, modification, or commercial use of our intellectual property is strictly prohibited.


33. Disclaimer of Warranties

Services Provided "AS IS"

All products and services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise.

CODEMEONLINE does not warrant that services will always be uninterrupted, error-free, secure, virus-free, continuously available, or compatible with every device, browser, operating system, third-party platform, or software environment.

Customers acknowledge that software may contain bugs, limitations, or compatibility issues despite reasonable testing.


34. No Guarantee of Results

Unless specifically agreed in writing, CODEMEONLINE does not guarantee:

  • Business growth.
  • Revenue generation.
  • Search engine rankings.
  • Google indexing.
  • Social media growth.
  • Advertising performance.
  • Lead generation.
  • Sales conversions.
  • AI-generated accuracy.
  • Approval by payment gateways.
  • Approval by Google, Apple, Meta, WhatsApp, or any third-party platform.

Any examples, demonstrations, case studies, estimates, or projections are provided for informational purposes only and shall not constitute guarantees.


35. Limitation of Liability

To the fullest extent permitted by applicable law, CODEMEONLINE, its owners, employees, contractors, affiliates, partners, licensors, suppliers, and representatives shall not be liable for any indirect, incidental, consequential, punitive, special, exemplary, or economic damages arising out of or related to the use of our products or services.

This includes but is not limited to loss of profits, revenue, goodwill, business opportunities, customers, contracts, data, software, business interruption, reputation, anticipated savings, or any indirect commercial losses.

In no event shall CODEMEONLINE's total aggregate liability exceed the total amount actually paid by the customer for the specific product or service giving rise to the claim during the twelve (12) months preceding the claim.


36. Indemnification

You agree to defend, indemnify, and hold harmless CODEMEONLINE, its owners, directors, employees, contractors, affiliates, licensors, suppliers, and business partners from any claims, lawsuits, liabilities, damages, penalties, fines, investigations, losses, costs, or legal expenses arising from:

  • Your use of our products or services.
  • Your breach of these Terms.
  • Your violation of applicable law.
  • Your infringement of third-party rights.
  • Content submitted by you.
  • Fraudulent or unlawful activities.

37. Force Majeure

CODEMEONLINE shall not be liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to natural disasters, floods, fires, earthquakes, epidemics, pandemics, cyber attacks, internet failures, labor disputes, government actions, war, civil unrest, power failures, cloud provider outages, hosting failures, or failures of third-party services.


38. Suspension & Termination

CODEMEONLINE reserves the right to suspend, restrict, or terminate any account, service, subscription, software license, hosting account, API access, or customer relationship immediately where reasonably necessary to protect our systems, business operations, intellectual property, customers, or legal rights.

Termination shall not affect any outstanding payment obligations owed by the customer.


39. Governing Law & Jurisdiction

These Terms & Conditions shall be governed and interpreted in accordance with the laws of the Republic of India.

Subject to applicable law, the courts located in Malerkotla, Punjab, India shall have exclusive jurisdiction over all disputes arising from these Terms or the use of our products and services.


40. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent court, the remaining provisions shall continue in full force and effect.


41. Waiver

Failure by CODEMEONLINE to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.


42. Entire Agreement

These Terms & Conditions, together with our Privacy Policy, Refund & Cancellation Policy, Cookie Policy (where applicable), invoices, quotations, statements of work, and any written service agreements constitute the complete agreement between you and CODEMEONLINE regarding the use of our products and services.


43. Changes to These Terms

CODEMEONLINE may modify, update, replace, or discontinue these Terms at any time. Updated versions become effective upon publication unless otherwise required by applicable law.

Your continued use of our products or services after such updates constitutes acceptance of the revised Terms.


44. Electronic Acceptance

By accessing our website, creating an account, placing an order, making a payment, clicking an acceptance button, signing electronically, or continuing to use our services, you agree that such actions constitute your electronic acceptance of these Terms and have the same legal effect as a handwritten signature where recognized by applicable law.

By accessing, browsing, purchasing, subscribing, downloading, installing, integrating, or otherwise using any CODEMEONLINE product or service, you confirm that you have read, understood, and agreed to be legally bound by these Terms & Conditions, our Privacy Policy, Refund & Cancellation Policy, and all applicable policies published by CODEMEONLINE.

If you do not agree with these Terms, you must immediately discontinue the use of our products and services.


46. Open Source Software

Certain CODEMEONLINE products or services may include or interact with open-source software distributed under their respective licenses.

Nothing in these Terms overrides the rights or obligations granted under any applicable open-source license. Customers agree to comply with all applicable open-source license terms where relevant.


47. Beta, Preview & Experimental Services

From time to time CODEMEONLINE may release beta, preview, experimental, early-access, or testing features.

Such services may contain bugs, limitations, incomplete functionality, security issues, or unexpected behavior and may be modified, suspended, or discontinued without prior notice.

Beta services are provided solely for evaluation purposes and are used entirely at the customer's own risk.


48. Fair Usage Policy

Customers agree to use our products and services fairly and responsibly.

Activities that excessively consume server resources, API requests, storage, bandwidth, CPU, memory, or network capacity beyond reasonable usage may result in temporary restrictions, service suspension, additional charges, or account termination.

CODEMEONLINE reserves the right to determine fair usage based on system stability, security, and service quality.


49. Feedback & Suggestions

Any feedback, feature request, recommendation, suggestion, bug report, idea, enhancement request, or improvement submitted to CODEMEONLINE may be used by us without restriction, compensation, or obligation to the customer.

Customers grant CODEMEONLINE a worldwide, perpetual, irrevocable, royalty-free license to use such feedback for improving products and services.


50. Electronic Communications

You agree that notices, invoices, agreements, disclosures, updates, legal communications, billing reminders, support responses, and other communications may be provided electronically through email, customer portals, SMS, WhatsApp, website notices, or other digital methods.

Electronic communications shall satisfy any legal requirement that such communications be provided in writing where permitted by applicable law.


51. Export Control & Sanctions

Customers agree not to use CODEMEONLINE products or services in violation of applicable export control laws, sanctions regulations, trade restrictions, or government prohibitions applicable in the jurisdictions where they operate.


52. Security Vulnerability Disclosure

If you discover a security vulnerability affecting any CODEMEONLINE product or service, you agree to report it responsibly and allow a reasonable opportunity for remediation before public disclosure.

Unauthorized security testing, exploitation, scanning, or disclosure intended to cause harm is strictly prohibited.


53. Data Retention & Account Deletion

Following account termination or service cancellation, CODEMEONLINE may delete customer data after a commercially reasonable retention period unless otherwise required by law or agreed in writing.

Customers are responsible for exporting and backing up their own information before requesting account deletion.


54. Assignment

CODEMEONLINE may assign, transfer, delegate, or subcontract any of its rights or obligations under these Terms without prior notice.

Customers may not assign, transfer, sublicense, or otherwise transfer their rights or obligations without prior written consent from CODEMEONLINE.


55. No Partnership

Nothing contained in these Terms shall be interpreted as creating any partnership, joint venture, employment relationship, agency, franchise, or fiduciary relationship between CODEMEONLINE and any customer.


56. Survival

Any provisions relating to intellectual property, software licensing, payment obligations, confidentiality, limitation of liability, indemnification, dispute resolution, governing law, and any other clauses intended by their nature to survive termination shall remain in effect after termination of these Terms.


57. Interpretation

Section titles and headings are provided solely for convenience and shall not affect the interpretation of these Terms.

Where the context requires, singular words include the plural and vice versa.


58. Independent Contractors

Unless otherwise agreed in writing, CODEMEONLINE may display completed projects, publicly accessible websites, company names, logos, screenshots, application previews, software demonstrations, general project descriptions, testimonials, ratings, and customer feedback within our portfolio, website, presentations, proposals, advertisements, social media, or other promotional materials.

Customers who require complete confidentiality must notify CODEMEONLINE in writing before project completion. Upon approval, reasonable efforts will be made to exclude the project from public marketing materials.


64. Marketing Communications & Customer Consent

By creating an account, submitting an enquiry, requesting a quotation, purchasing any product or service, subscribing to a plan, downloading software, or otherwise interacting with CODEMEONLINE, you expressly consent to receive communications from us through legally permitted communication channels.
